Independent Director and SPEs

Corporate Creations provides special member services for our clients special purpose entities ("SPE"). A special member provision is triggered in the event the members cease to be members of a SPE company. The person acting as Independent Director or Manager, without the action of any person, automatically becomes or "springs" in to being admitted to the Company as a special member. The special member shall continue the Company without dissolution until there are new members appointed. Special member is commonly referred to as a springing member.
